One Server can have many CPUs so if you have a machine with 2 cpu's thats two licenses.

Whats the skinny on dual core cpu's? do they count as one or two CPU?

Yes you are correct, the "server" license is per physical CPU (number of cores doesn't matter) so a two CPU server needs 2 licenses. Yes you can have an unlimited number of users per server.
